1. INTRODUCTION

1.1 Agreement Overview

These Terms and Conditions ("Terms," "Agreement") constitute a legally binding agreement between you ("Client," "you," or "your") and Scaleosity ("Provider," "we," "us," or "our"), concerning your subscription to the ScaleFast Website Accelerator service and your access to and use of the website and marketing services provided by Scaleosity.

1.2 Acceptance of Terms

By subscribing to the ScaleFast Website Accelerator service, making payment, or using any of our services, you acknowledge that you have read, understood, and agree to be bound by all the terms and conditions set forth in this Agreement. If you do not agree to these Terms, please do not subscribe to or use our services.

1.3 Definitions

For the purposes of these Terms and Conditions:

• "Service" or "Services" refers to the ScaleFast Website Accelerator subscription service, including website design, development, copywriting, hosting, and access to the GoHighLevel software platform.

• "Website" refers to the 5-page website developed for you as part of the Service.

• "GoHighLevel" refers to the third-party marketing automation software platform provided as part of the Service.

• "Content" refers to all text, images, graphics, videos, and other materials created, displayed, or accessible through the Service.

• "Subscription" refers to your monthly or annual payment plan for the Service.

• "Effective Date" refers to the date when your first payment is processed and your subscription begins.

1.4 Modification of Terms

We reserve the right to modify these Terms at any time at our sole discretion. When we make changes to these Terms, we will post the updated Terms on our website and update the "Last Modified" date at the top of these Terms. We will also make reasonable efforts to notify you of any material changes to these Terms through email or account notifications.

Changes to these Terms will become effective on the date specified in our notification, which will be at least seven (7) days after we post the updated Terms. Your continued use of the Services after the specified effective date constitutes your acceptance of the modified Terms.

If you do not agree with the updated Terms, you may cancel your subscription according to the cancellation policy outlined in Section 5 before the effective date of the changes. Continuing to use the Service after the effective date means you agree to be bound by the modified Terms.

2. SERVICE DESCRIPTION

2.1 ScaleFast Website Accelerator Package

The ScaleFast Website Accelerator is a subscription-based website design and marketing service that includes:

• Design and development of a professional 5-page website

• Creation of website copy tailored to your business

• Website hosting for the duration of your subscription

• Access to the GoHighLevel marketing automation platform

• Basic website maintenance and support as described in Section 7.4

The website will be designed according to current web standards and optimized for desktop and mobile viewing. All content creation and design work are performed by Scaleosity or its authorized representatives.

2.2 Delivery Timeline

We commit to delivering your completed website within seven (7) days from the date we receive all required information and materials from you. This timeline assumes your timely response to any questions or requests for information needed to complete your website.

Delays in providing requested information may extend the delivery timeline. We will notify you if any such delays are anticipated.

2.3 Revision Policy

Your subscription includes one (1) major revision to your website after the initial delivery. A major revision may include changes to layout, design elements, or substantial content modifications across multiple pages.

All revision requests must be submitted within seven (7) days of the initial website delivery. We will complete the requested revisions within a reasonable timeframe, typically within 3-5 business days of receiving your revision request.

Additional revisions beyond the included major revision may be subject to additional fees as outlined in Section 7.2.

2.4 Service Tiers

The ScaleFast Website Accelerator is available in two subscription tiers:

• Monthly Subscription: $97 per month, billed monthly

• Annual Subscription: $970 per year (equivalent to $80.83 per month, representing a savings of two months compared to the monthly subscription)

Both tiers include the core services and features as described in Section 2.1. The Annual Subscription includes these additional benefits:

• Priority support for faster response times

• Extended revision options for your website

• Guaranteed pricing protection for 12 months

The primary differences between the tiers are the billing frequency, price, and the additional benefits provided with the Annual Subscription.

3. SUBSCRIPTION TERMS

3.1 Month-to-Month Subscription

The monthly subscription for the ScaleFast Website Accelerator operates on a month-to-month basis with a minimum commitment period of one (1) month. Following the initial month, your subscription continues until canceled according to the procedures outlined in Section 5.

3.2 Automatic Renewal

Both monthly and annual subscriptions automatically renew at the end of each billing period (monthly or yearly) until canceled. For monthly subscriptions, renewal occurs on the same day of each month as your initial subscription date. For annual subscriptions, renewal occurs on the anniversary date of your initial subscription.

Automatic renewals are processed through our payment processor, Stripe, in accordance with their terms of service. By subscribing to our service, you authorize us to charge your payment method for the applicable subscription fee at the beginning of each billing period.

3.3 Subscription Changes

You may upgrade from a monthly subscription to an annual subscription at any time. Upon upgrade, you will be billed immediately for the annual subscription, and your new annual billing cycle will begin on that date.

• You will be billed immediately for the annual subscription fee of $970, minus any prorated credit for the unused portion of your current monthly billing cycle

• Your new annual billing cycle will begin on the date of the upgrade

• You will immediately receive the additional benefits of the Annual Subscription, including priority support and guaranteed pricing protection for 12 months

Downgrading from an annual subscription to a monthly subscription is only available at the end of your current annual billing cycle. To downgrade, you must notify us of your intent to downgrade at least 7 days before your annual renewal date.

3.4 Price Changes

We reserve the right to modify our subscription prices at any time. Price changes may occur due to increases in costs from our third-party service providers, including GoHighLevel.

If we modify the price of your subscription, we will provide you with at least thirty (30) days' advance notice before the change takes effect. This notice will be sent to the email address associated with your account.

If you do not agree to the price change, you may cancel your subscription as described in Section 5 before the price change takes effect. Continued use of the Services after a price change takes effect constitutes your acceptance of the new pricing.

4. PAYMENT TERMS

4.1 Payment Processing

Payment for your subscription is processed at the time of registration and on each renewal date thereafter. For monthly subscriptions, payments are processed on the same calendar day each month as your initial subscription date. For annual subscriptions, payments are processed on the anniversary of your initial subscription date.

All payments are processed through our secure payment processor, Stripe, in accordance with their terms of service. By subscribing to our service, you authorize us to charge your payment method for the applicable subscription fee at the beginning of each billing period.

4.2 Subscription Fee and Usage-Based Charges

The ScaleFast Website Accelerator has no setup fees, and your base subscription fee ($97/month or $970/year) covers all core services described in Section 2.1 without additional setup costs.

4.2.1 Usage-Based Services

While your subscription includes access to the GoHighLevel platform, certain communication features operate on a usage-based billing model:

SMS and MMS Messaging: Sending text messages incurs per-message charges based on volume, message length, and recipient location which are deducted from your GoHighLevel wallet. For detailed SMS pricing, see GoHighLevel LC Phone Pricing Structure.

Phone Calls: Outgoing and incoming calls incur per-minute charges based on location, and additional features like call recording, transcription, and voicemail drops have associated fees. Learn more at LC Phone System Overview.

Mass Email Sending: Email campaigns are charged at $0.675 per 1,000 emails sent, with additional charges for services like email verification ($2.50 per 1,000 verifications). For more details, see LC Email System & Pricing.

4.2.2 Wallet System  

GoHighLevel utilizes a wallet system for these additional services, where you only pay for what you actually use. Your payment method on file will be automatically charged to replenish your wallet when it falls below a designated threshold. 4.3 Payment Failures

In the event of a payment failure, the following process will be implemented:

• Payment Retry Policy: We will automatically attempt to retry failed payments three times, once per day for three consecutive days following the initial failed payment.

• Customer Notification: You will receive automatic notifications about failed payments and instructions on how to update your payment information.

• Account Suspension: If payment is not received after all retry attempts, we reserve the right to suspend access to your website and GoHighLevel software until payment is received.

• Cancellation Terms: If payment remains outstanding for five (5) days after the final retry attempt, we reserve the right to terminate your subscription and remove access to all services.

We will make reasonable efforts to contact you regarding payment issues before suspending or terminating your services.

4.4 No Refund Policy

All payments for the ScaleFast Website Accelerator service are non-refundable. This no-refund policy applies to both monthly and annual subscriptions.

We do not provide partial refunds for canceled subscriptions; however, you will continue to have access to all services until the end of your current billing period.

5. CANCELLATION POLICY

5.1 Monthly Subscription Cancellation

You may cancel your monthly subscription at any time without a notice period. To cancel your subscription, you must:

• Log into your account and follow the cancellation process, or

• Contact us directly at [email protected] with your cancellation request

Upon cancellation, your subscription will remain active until the end of your current billing period. No partial refunds will be issued for unused portions of your current billing period.

5.2 Annual Subscription Cancellation

For annual subscriptions, you may cancel at any time, but no refunds will be provided for the remaining portion of your annual term. Your subscription and access to services will continue until the end of your current annual billing period.

To cancel an annual subscription:

• Log into your account and follow the cancellation process, or

• Contact us directly at [email protected] with your cancellation request

Upon cancellation, your annual subscription will not automatically renew for the next year.

5.3 Effects of Cancellation

Upon cancellation of your subscription:

• You will continue to have full access to all services until the end of your current billing period

• At the end of your billing period, your website will be taken offline and will no longer be accessible

• Your access to the GoHighLevel software will be terminated

• You will retain ownership of all website content, copy, and design elements created during your subscription

• You may request copies of your website content and assets, which we will provide within 15 days of your request

Please note that the website is built on the GoHighLevel platform and cannot be transferred directly to another hosting provider. While you own all content and design elements, rebuilding the website on another platform would require additional development work not covered by your subscription.

5.4 Service Termination by Provider

We reserve the right to terminate your service under the following circumstances:

• Non-payment after multiple retry attempts as described in Section 4.3

• Violation of these Terms and Conditions

• Abusive behavior toward our staff

• Misuse of the GoHighLevel platform or violation of their terms of service

• Legal requirements or court orders

Except in cases of serious violations or legal requirements, we will provide you with 30 days' notice before terminating your service. In cases of immediate termination, we will notify you as soon as practicable.

6. INTELLECTUAL PROPERTY AND OWNERSHIP

6.1 Website Content Ownership

Upon payment of your subscription fee, you own all the content created specifically for your website, including:

• Written copy and text

• Custom graphics and images provided or created for your website

Page layouts and content structure

• Blog posts and articles (if included)

This ownership extends to all content created during your subscription period, regardless of whether your subscription remains active.

6.2 Website Design Ownership

You own the rights to the specific implementation of your website design, including the color scheme, typography, and layout arrangements created for your business. This allows you to:

• Use the design concepts in other marketing materials

• Recreate similar design elements on other platforms

• Reference the design when working with other designers

However, we retain rights to the underlying templates, frameworks, and design systems used to create your website.

6.3 Platform Dependency Disclosure

Your website is built on the GoHighLevel platform and is designed to function within that environment. Important limitations to understand:

1. The website cannot be exported or transferred directly to another hosting platform in its current form

2. The website requires an active ScaleFast Website Accelerator subscription to remain online and functional

3. If your subscription ends, you cannot continue using the exact website implementation, though you retain ownership of all content

While you own the content and design, recreating the website on another platform would require additional development work not covered by your subscription.

6.4 Portfolio Rights

We reserve the right to showcase your website in our portfolio and marketing materials as an example of our work. This may include:

1. Screenshots of your website

2. Links to your live website

3. Brief descriptions of the project

If you do not wish to have your website featured in our portfolio, you must notify us in writing at [email protected]. We will honor such requests and remove your website from our portfolio materials within 15 days of receiving your notification.

7. SERVICE LIMITATIONS AND ADDITIONAL SERVICES

7.1 Included Website Changes

Your subscription includes certain types of minor website changes and updates at no additional cost. These include:

• Text modifications to existing pages

• Replacing or updating images within the existing design framework

• Updating contact information, business hours, or similar details

• Minor adjustments to layout or formatting

These changes will be implemented within our standard support response time as described in Section 7.4.

7.2 Changes Beyond Scope

The following types of changes are considered beyond the scope of the standard subscription and may incur additional fees:

• Adding new pages beyond the initial 5-page website

• Complete redesign of existing pages

• Implementation of custom functionality or features

• Integration with third-party services beyond GoHighLevel

• Creation of custom graphics, illustrations, or complex visual elements

• Development of e-commerce capabilities

We will provide a quote for any requested changes that fall outside the scope of the standard subscription before beginning work.

7.3 Additional Services and Fees

Additional services are available upon request at rates to be determined based on the scope and complexity of the work. These services include but are not limited to:

• Advanced SEO campaigns

• Content marketing and blog development

• E-commerce setup and configuration

• Email marketing campaign creation

• Social media management

• Ads management

Any additional services will be quoted separately from your base subscription and will require your written approval before work begins.

7.4 Support Availability

Support for your ScaleFast Website Accelerator subscription is available as follows:

Support Hours: Monday through Friday, excluding US federal holidays

Response Time: Within 24 hours of receiving your support request

Support Channels: Email support via [email protected]

Support includes assistance with website issues, answering questions about your service, and implementing included website changes as described in Section 7.1.

Emergency support for critical issues (such as website downtime) will be prioritized, but still operates within the standard business hours and response time framework.

8. SOFTWARE AND HOSTING

8.1 GoHighLevel Platform Access

As part of your ScaleFast Website Accelerator subscription, you will receive access to the GoHighLevel marketing automation platform. This access is provided for the duration of your active subscription and includes standard features available through the platform at your subscription level.

Your use of the GoHighLevel platform is subject to GoHighLevel's own Terms of Service, Privacy Policy, and other applicable policies. By using our Service, you agree to comply with these third-party terms.

8.2 Data Ownership and Access

You retain ownership of all data you input or generate within the GoHighLevel platform. However, access to this data is contingent upon maintaining an active subscription. Upon cancellation or termination of your subscription, your access to the platform and your data within it will cease.

We do not independently maintain or backup your GoHighLevel data outside of the platform itself. It is your responsibility to export or backup any data you wish to retain before canceling your subscription.

8.3 No Performance Guarantees

While we strive to provide reliable service, we do not offer specific performance guarantees regarding website uptime, speed, or availability. The performance of your website depends on various factors, including but not limited to GoHighLevel's infrastructure, internet connectivity, and third-party services.

8.4 Platform Dependencies

Your website and marketing services are built on and dependent upon the GoHighLevel platform. Any limitations, changes, or interruptions to the GoHighLevel platform may affect the functionality of your website and marketing services.

We are not responsible for any disruptions, changes, or discontinuations of services provided by GoHighLevel or other third-party services integrated with your website.

9. DISCLAIMER OF WARRANTIES

9.1 "As Is" and "As Available" Service

The ScaleFast Website Accelerator service, including the website and GoHighLevel software access, is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. While we commit to delivering a professional website within 7 days, we do not guarantee that the website will operate without interruptions or errors, or that it will meet all expectations or requirements.

9.2 No Implied Warranties

We specifically disclaim all implied warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, title, and non-infringement. No oral or written information or advice given by us or our representatives shall create a warranty or increase the scope of any warranty.

9.3 Third-Party Services Disclaimer

We make no warranties regarding third-party services, including GoHighLevel, integrated into your website or marketing services. Third-party services are provided subject to their own terms and conditions, and we have no control over their operation, availability, or performance.

9.4 No Performance Guarantees

We do not guarantee that the website or marketing services will achieve any particular result for your business. While we strive to create effective websites that represent your business professionally, we cannot guarantee specific performance outcomes, including but not limited to increased traffic, leads, or sales.

10. LIMITATION OF LIABILITY

10.1 Liability Cap

To the maximum extent permitted by applicable law, our total liability to you for any claims arising from or related to this Agreement, regardless of the form of action, whether in contract, tort, or otherwise, shall not exceed the total amount of subscription fees you have paid to us during the six (6) months immediately preceding the event giving rise to the claim.

10.2 Exclusion of Indirect Damages

In no event shall we be liable for any indirect, incidental, special, exemplary, consequential, or punitive damages, including but not limited to lost profits, lost revenue, lost data, loss of goodwill, business interruption, cost of substitute services, or other intangible losses (even if we have been advised of the possibility of such damages), arising out of or in connection with:

• The use or inability to use the Service

• Any changes made to the Service

• Unauthorized access to or alteration of your data

• Statements or conduct of any third party regarding the Service

• Any other matter relating to the Service

10.3 Third-Party Services Limitation

We are not responsible or liable for any third-party products, services, or materials used in connection with our Services, including but not limited to the GoHighLevel platform. Any issues, disruptions, errors, or limitations related to third-party services should be addressed directly with the third-party provider.

10.4 Content Creation Liability Limitation

You acknowledge and agree that you are responsible for reviewing and approving all content created for your website. Once you have approved content, you assume full responsibility for such content, including but not limited to its accuracy, appropriateness, and compliance with applicable laws and regulations.

We make no representations or warranties regarding the originality of content created for your website. While we strive to create original content, our research and content creation process may involve reviewing competitor websites and using AI-assisted tools.

10.5 Exceptions to Limitation

The limitations of liability in this section do not apply to liabilities that cannot be excluded or limited under applicable law, including but not limited to liability for death or personal injury caused by negligence, fraud, or willful misconduct.

10.6 Essential Purpose

You acknowledge that we have set our prices and entered into this Agreement with you in reliance upon the limitations of liability set forth in this section, which allocate risk between us and form an essential basis of the bargain between us. We would not be able to provide the Services to you on an economically reasonable basis without these limitations.

11. INDEMNIFICATION

11.1 Client Indemnification Obligations

You agree to defend, indemnify, and hold harmless Scaleosity, its officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from:

• Your use of and access to the Service

• Your violation of any term of these Terms and Conditions

• Your violation of any third-party right, including without limitation any copyright, property, or privacy right

• Any claim that your content caused damage to a third party

• Any content you submit, post, or transmit through the Service

This defense and indemnification obligation will survive these Terms and Conditions and your use of the Service.

11.2 Notification of Claims

You agree to promptly notify us of any third-party claims, cooperate with us in defending such claims, and pay all fees, costs, and expenses associated with defending such claims (including, but not limited to, attorneys' fees). We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of these claims.

12. TERMINATION

12.1 Termination by Client

You may terminate your subscription at any time subject to the cancellation policy outlined in Section 5. Upon termination by you, your access to the Service will continue until the end of your current billing period, after which all access will cease.

12.2 Termination by Provider

We reserve the right to terminate your subscription and access to the Service under the following circumstances:

12.2.1 Non-payment

If you fail to make payment after multiple retry attempts as described in Section 4.3, we may terminate your subscription after five (5) days following the final retry attempt.

12.2.2 Terms Breach

If you breach any provision of these Terms and Conditions, we may terminate your subscription after providing you with notice of the breach and a reasonable opportunity to cure such breach, which shall not be less than fourteen (14) days.

12.2.3 Abusive Behavior

We may terminate your subscription immediately if you engage in abusive behavior toward our staff, including but not limited to harassment, threats, or excessive and unreasonable demands beyond the scope of our Agreement.

12.2.4 Platform Misuse

We may terminate your subscription if you misuse the GoHighLevel platform in ways that violate that platform's terms of service, as this could jeopardize our own account and ability to serve other clients.

12.2.5 Legal Requirements

We may terminate your subscription if required to do so by law, court order, or regulatory authority.

12.3 Effects of Termination

Upon termination of your subscription, regardless of the reason:

• Your website will be taken offline and will no longer be accessible to you or the public

• Your access to the GoHighLevel software will be terminated

• You will no longer receive customer support or any other services under this Agreement

• Any unpaid fees for services rendered up to the termination date will become immediately due and payable

12.4 Post-Termination Data Handling

Following termination:

• We will retain your website content and data for a period of thirty (30) days

• During this 30-day period, you may request a copy of your website content and assets, which we will provide within fifteen (15) days of receiving your request

• After the 30-day retention period, we may permanently delete all your data and content without further notice

No refunds will be issued for any unused portion of your subscription period following termination, regardless of whether termination was initiated by you or by us.

13. COMPLIANCE AND REGULATIONS

13.1 Accessibility Compliance Notice

While we strive to create websites that follow accessibility best practices, we do not guarantee that websites created through our Service are fully compliant with the Americans with Disabilities Act (ADA) or Web Content Accessibility Guidelines (WCAG).

The ultimate responsibility for ensuring ADA compliance of your website rests with you, the Client. If you require specific accessibility features or full ADA compliance, you should inform us of these requirements before website development begins. Additional accessibility features beyond our standard implementation may require additional fees.

13.2 CCPA Notice

If your business is subject to the California Consumer Privacy Act (CCPA) or other privacy regulations, you are responsible for ensuring your website complies with these regulations. Our Service does not automatically include features specific to CCPA compliance or similar privacy regulations.

13.3 Client Legal Responsibilities

You are solely responsible for ensuring that your website, its content, and your business practices comply with all applicable laws and regulations, including but not limited to:

• Privacy laws and regulations

• Consumer protection laws

• Intellectual property laws

• Industry-specific regulations applicable to your business

• Anti-spam laws and regulations

• Tax laws and requirements

We recommend consulting with a legal professional to ensure your website and business practices comply with all applicable laws and regulations in your jurisdiction and in jurisdictions where you conduct business.

13.4 Legal Documentation Disclaimer

Our Service does not include the creation or provision of legal documents for your website, including but not limited to:

• Privacy policies

• Terms of service

• Cookie policies

• GDPR compliance statements

• Disclaimers

• Return and refund policies

If you provide us with these documents, we will upload them to your website at no additional cost. However, we do not create, review, or ensure the legal adequacy of these documents. You are responsible for creating or obtaining these documents from a qualified legal professional.

14. GENERAL PROVISIONS

14.1 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of California, without giving effect to any choice of law or conflict of law provisions. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California.

14.2 Jurisdiction

You agree that any action at law or in equity arising out of or relating to these Terms and Conditions shall be filed only in the state or federal courts located in Los Angeles County, California, and you hereby consent and submit to the personal jurisdiction of such courts for the purposes of litigating any such action.

14.3 Dispute Resolution

Prior to initiating any legal action arising out of or relating to these Terms and Conditions, you agree to first attempt to resolve the dispute informally by contacting us at [email protected]. If we are unable to resolve the dispute informally, both parties agree to participate in mediation conducted by a mutually agreed upon mediator in Los Angeles County, California. The costs of mediation shall be shared equally between the parties.

If the dispute cannot be resolved through mediation within sixty (60) days of the initial mediation session, either party may then proceed with litigation subject to the Governing Law and Jurisdiction provisions of this Agreement. Both parties agree to make good faith efforts to resolve disputes through this process before resorting to litigation.

14.4 Severability

If any provision of these Terms and Conditions is found to be invalid, void, or unenforceable by any court or tribunal of competent jurisdiction, such provision shall be limited or eliminated to the minimum extent necessary so that these Terms and Conditions shall otherwise remain in full force and effect.

14.5 Waiver

The failure of either party to exercise or enforce any right or provision of these Terms and Conditions shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms and Conditions will be effective only if in writing and signed by the waiving party.

14.6 Assignment

You may not assign or transfer these Terms and Conditions, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms and Conditions without such consent will be null and void. We may assign or transfer these Terms and Conditions, at our sole discretion, without restriction.

14.7 Force Majeure

We shall not be liable for any failure or delay in performance under these Terms and Conditions resulting from causes beyond our reasonable control, including but not limited to, acts of God, natural disasters, pandemic, war, terrorism, riots, civil unrest, government actions, power failures, internet disruptions, or acts or omissions of third-party service providers.

14.8 Relationship of Parties

Nothing in these Terms and Conditions shall be construed as creating any agency, partnership, joint venture, employment, or franchisor/franchisee relationship between you and us.

14.9 Notices

All notices required or permitted under this Agreement must be in writing and will be deemed effective upon receipt. Notices to us should be sent to [email protected]. Notices to you will be sent to the email address you provided during registration.

14.10 Entire Agreement

These Terms and Conditions, together with any documents they expressly incorporate by reference, constitute the entire agreement between you and us regarding the Service and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning the subject matter of these Terms and Conditions.

14.11 Contact Information
